The sale of this item may be subject to regulation by the United States Food and Drug Administration (FDA) and applicable state and local regulatory agencies. Inc. will verify the purchasers status as an authorized purchaser prior to shipment if required by law. By purchasing this item, the purchaser represents and warrants that they are legally authorized to purchase, possess, and use this equipment in compliance with all applicable federal, state, and local laws and regulations. The purchaser further agrees to provide proof of such authorization upon request, and failure to provide such documentation may result in cancellation of the sale.
All equipment sold by Inc. is offered strictly on an AS IS, WHERE IS, and WITH ALL FAULTS basis. Inc. makes no representations or warranties of any kind, express or implied, regarding the condition, performance, safety, functionality, suitability, or fitness of the equipment for any particular purpose, except as explicitly stated in a written agreement signed by an authorized officer of Inc. Inc. expressly disclaims any and all warranties, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and compliance with regulatory requirements. Descriptions, statements, and photographs provided in connection with the equipment are provided solely for informational purposes, represent the sellers best knowledge and belief, and shall not be construed as guarantees or warranties of any kind.
The purchaser acknowledges and agrees that medical and technical equipment may present inherent risks if improperly installed, maintained, or operated, and the purchaser assumes full responsibility for inspection, testing, certification, installation, operation, and maintenance of the equipment. Inc. shall not be liable for any claims, demands, damages, losses, liabilities, costs, or expenses of any kind, including but not limited to personal injury, death, property damage, loss of use, loss of revenue, or consequential damages, arising out of or related in any way to the purchase, ownership, delivery, possession, installation, operation, resale, or use of the equipment, whether arising in contract, tort, strict liability, or otherwise.
To the fullest extent permitted by law, the purchaser agrees to indemnify, defend, and hold harmless Inc., its parent companies, subsidiaries, affiliates, and each of their respective officers, directors, shareholders, owners, employees, contractors, and agents from and against any and all claims, demands, actions, causes of action, liabilities, damages, losses, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys fees and litigation expenses, arising out of or related in any way to the equipment or the purchasers ownership, possession, transfer, resale, or use of the equipment.
The purchaser expressly acknowledges and agrees that Inc. is a separate legal corporate entity and that no officer, director, shareholder, owner, employee, or agent of Inc. shall have any personal liability whatsoever arising from or related to this transaction or the equipment. The purchaser further agrees that any claims related to this transaction shall be brought solely against Inc. as a corporate entity and not against any individual associated with Inc.
Regardless of the origin of the equipment, documentation provided, prior ownership, or identification markings, the equipment is not certified, recommended, or guaranteed by Inc. for any specific use. The purchaser assumes full responsibility for ensuring compliance with all applicable regulatory requirements, including FDA and state regulations, and for obtaining any necessary inspections, certifications, or approvals prior to clinical or operational use.
This agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles. The parties agree that exclusive jurisdiction and venue for any dispute arising out of or relating to this transaction shall lie solely in the state or federal courts located in Cook County, Illinois, and the purchaser hereby consents to such jurisdiction and venue.
By purchasing, buyding on, accepting delivery of, or otherwise taking possession of the equipment, the purchaser acknowledges that they have read, understood, and agreed to be bound by the terms and conditions set forth herein, and that these terms constitute a binding legal agreement.
